End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("you" or "Licensee") and M Media Audio ("M Media Audio," "we," or "us"), governing your use of all M Media Audio software products, including VST3 audio plugins, online mastering tools, and related services. By installing, activating, or using any M Media Audio product or service, you agree to be bound by this Agreement. If you do not agree, do not install, activate, or use the product.

1. Software License - Audio Plugins

Subject to your compliance with this Agreement and payment of the applicable license fee, M Media Audio grants you a personal, non-exclusive, non-transferable, limited license to install and use M Media Audio VST3 plugin software ("Software") on up to three (3) computers that you own or control, solely for your own personal or professional audio production purposes.

Each license is tied to a single user. You may activate your license on up to three machines simultaneously. If you need to transfer an activation to a new machine, you must deactivate an existing installation through your account at www.mmediaaudio.com/my-account.

2. Online Mastering Service

Use of the M Media Audio online mastering service is subject to the following terms in addition to the general terms of this Agreement. You retain all ownership rights to your source audio files. By submitting audio for processing, you grant M Media Audio a limited, temporary license to process your files solely for the purpose of delivering the mastered output to you. Source files are not retained after delivery is confirmed. M Media Audio is not responsible for files lost due to transmission errors, corruption, or expiration of delivery links.

Payment is required before server-side rendering is performed. Refunds for completed renders are not available except where the delivered file is technically defective and cannot be remedied by re-render.

3. Audio Production Services

For mastering, mixing, editing, restoration, podcast production, and all other services rendered by M Media Audio, the following terms apply. You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions to the source material you submit. M Media Audio will not knowingly process material that infringes the intellectual property rights of any third party.

Delivered work product is provided for your use upon payment in full. Project files and intermediate assets are retained at M Media Audio's discretion and are not considered a deliverable unless specifically agreed in writing. Rush turnaround requests are accepted subject to availability and may carry additional fees disclosed before work begins.

4. Restrictions

You may not, and you may not permit any third party to:

• Copy, modify, adapt, translate, or create derivative works of the Software
• Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the Software
• Rent, lease, lend, sell, sublicense, assign, or otherwise transfer the Software or your license rights to any third party
• Remove or alter any proprietary notices, labels, or marks on the Software
• Use the Software in any manner that violates applicable law or these terms
• Use automated tools to circumvent or test license activation systems

5. Intellectual Property

The Software and all copies thereof are proprietary to M Media Audio and title thereto remains in M Media Audio. All rights in the Software not specifically granted in this Agreement are reserved to M Media Audio. You acknowledge that no title to the intellectual property in the Software is transferred to you. You further acknowledge that title and full ownership rights to the Software will remain the exclusive property of M Media Audio, and you will not acquire any rights to the Software except as expressly set forth in this Agreement.

6. License Keys and Activation

License keys are issued to individual purchasers and are non-transferable except as explicitly permitted through the license management system. Sharing, publishing, or distributing license keys is prohibited and will result in immediate revocation without refund. M Media Audio reserves the right to deactivate license keys that have been compromised, shared, or used in violation of this Agreement.

Offline activation is available for air-gapped or restricted environments. Contact info@mmediaaudio.com to request an offline activation code.

7. Updates and Support

M Media Audio may, at its discretion, make updates, patches, or new versions of the Software available. This Agreement applies to all updates unless a separate agreement accompanies the update. Support is provided by email at info@mmediaaudio.com. M Media Audio does not guarantee response times or resolution of any particular issue.

8. Disclaimer of Warranties

THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. M MEDIA AUDIO EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. M MEDIA AUDIO DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL M MEDIA AUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR LOSS OF AUDIO FILES) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OR INABILITY TO USE THE SOFTWARE OR SERVICES, EVEN IF M MEDIA AUDIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall M Media Audio's total cumulative liability exceed the amount paid by you for the specific product or service giving rise to the claim in the twelve (12) months preceding the claim.

10. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically and without notice if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies in your possession. Sections 4, 5, 8, 9, 11, and 12 survive termination of this Agreement.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.

12. Entire Agreement

This Agreement constitutes the entire agreement between you and M Media Audio with respect to the Software and services covered herein, and supersedes all prior or contemporaneous understandings regarding the subject matter. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions of this Agreement remain in full force and effect.
